Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, platform, and website provided by Zenoh AI ("Zenoh," "we," "us," or "our"). By accessing our website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Definitions

  • "Services" refers to Zenoh AI's end-to-end outbound management solution, including outbound strategy creation, LinkedIn outbound campaign execution, conversation management, prospect qualification, meeting booking, and all associated platform features.
  • "Platform" refers to the Zenoh AI dashboard and associated tools provided to you during the engagement, including campaign analytics, conversation views, prospect management, and strategy documentation.
  • "Qualified Meeting" refers to a meeting that satisfies all qualification criteria as defined in Section 5 of these Terms.
  • "Outbound Strategy" refers to the combination of ICP parameters, messaging strategy, campaign settings, and A/B testing plans created and validated by Zenoh AI during the engagement.
  • "POC Phase" refers to the Proof of Concept phase of the engagement, as described in Section 4.
  • "Scale Phase" refers to the scaling phase of the engagement following successful validation, as described in Section 4.
  • "Outbound Strategist" refers to the dedicated human professional assigned to oversee the quality of your outbound strategy and campaigns.

2. Services Overview

2.1 Scope of Services

Zenoh AI provides an end-to-end outbound management solution. Our Services include:

  • Strategic onboarding and collection of all relevant business inputs, including product-market context, ICP assumptions, and sales and marketing collateral
  • AI-powered outbound strategy creation using a scientific outbound strategy creation process
  • LinkedIn outbound campaign execution on autopilot using your authorised LinkedIn account
  • Prospect identification, personalised messaging, conversation continuation, and qualification
  • Qualified sales meeting booking on your calendar
  • Dedicated dashboard with full visibility into prospects, conversations, and campaign performance
  • Dedicated outbound strategist providing quality oversight and weekly steering meetings
  • CRM integration support (Salesforce, HubSpot, Pipedrive, GoHighLevel)

2.2 Service Delivery

All outbound campaigns are executed through your LinkedIn account. Zenoh AI tests different combinations of ICP parameters, messaging strategy, and campaign settings to find and validate the formula that delivers the best meeting conversion rate for your product or service. Your dedicated outbound strategist acts as a quality guardrail, reviewing strategy, monitoring campaigns, and optimising performance throughout the engagement.

2.3 AI and Human Oversight

Zenoh AI utilises artificial intelligence to create outbound strategies, personalise messaging, manage conversations, and qualify prospects. All AI-generated outputs are subject to human oversight by your dedicated outbound strategist. The final outbound strategy is shared with you for approval before any campaign goes live.

3. Client Obligations

To enable effective service delivery, you agree to:

  • Provide accurate and complete business information, including product-market context, ICP assumptions, and all relevant sales and marketing collateral during onboarding
  • Grant authorised access to your LinkedIn account(s) designated for outbound campaigns
  • Review and approve the outbound strategy before campaign launch
  • Attend scheduled weekly steering meetings with your dedicated outbound strategist
  • Show up to and conduct qualified meetings booked by Zenoh AI in good faith
  • Provide timely feedback on meeting quality, prospect relevance, and campaign performance
  • Comply with LinkedIn's Terms of Service and community guidelines
  • Ensure that your product or service does not violate any applicable laws or regulations
  • Maintain an active LinkedIn account in good standing throughout the engagement

4. Engagement Structure

4.1 Proof of Concept (POC) Phase

Every engagement begins with a Proof of Concept phase, typically lasting one quarter (approximately 90 days). During the POC phase, Zenoh AI tests different combinations of ICP parameters, messaging strategy, and campaign settings to identify the formula that delivers the best meeting conversion rate for your product or service. The POC phase includes guaranteed qualified sales meetings as defined in Section 5.

4.2 Scale Phase

Upon successful completion of the POC phase and mutual agreement to proceed, the engagement enters the Scale phase. During the Scale phase, Zenoh AI increases the volume of prospects reached to deliver the number of qualified meetings your team needs to achieve your revenue goals, based on the validated conversion rate established during the POC.

4.3 Strategy Ownership

The outbound strategy created and validated during the engagement belongs to you. Upon completion of the POC phase or termination of the engagement, you may take the validated strategy and implement it independently using your own outbound infrastructure. Zenoh AI does not impose lock-in obligations or restrict your use of the validated strategy post-engagement.

5. Qualified Meeting Criteria

A meeting is counted as a "Qualified Meeting" only if all of the following criteria are met:

  • The attendee matches the mutually agreed Ideal Customer Profile (ICP) and qualification criteria established during onboarding
  • The meeting originates directly from Zenoh AI outbound campaign activity
  • The meeting is confirmed, booked, and attended by the prospect
  • The attendee has clear context on the meeting agenda and has explicitly agreed to the conversation

Meetings that do not satisfy all of the above criteria do not count toward the minimum meeting commitment. If the minimum commitment is not met within the agreed timeframe, Zenoh AI will continue campaign execution at no additional charge until the commitment is fulfilled.

6. Meeting Guarantee

6.1 Commitment

Zenoh AI guarantees delivery of a minimum number of Qualified Meetings as specified in your service agreement. The exact number and timeframe are agreed upon during onboarding and documented in your engagement agreement.

6.2 Shortfall

In the event that the minimum number of Qualified Meetings is not delivered within the agreed timeframe, Zenoh AI will continue campaign operations at no additional cost until the commitment is met. There is no additional charge, no renegotiation, and no expiration on this commitment.

6.3 Exclusions

The meeting guarantee is subject to the following conditions:

  • You have provided accurate and complete onboarding information as required
  • You have approved the outbound strategy before campaign launch
  • Your LinkedIn account remains in good standing and is not restricted, suspended, or banned due to activities outside of Zenoh AI's control
  • You attend weekly steering meetings and provide timely feedback as requested
  • You do not interfere with or modify campaign settings, messaging, or prospect lists without coordination with your outbound strategist

7. Fees and Payment

7.1 Pricing

Service fees are as specified in your engagement agreement. All fees are exclusive of applicable taxes unless stated otherwise.

7.2 Payment Terms

Invoices are issued in accordance with the billing schedule specified in your engagement agreement. Payment is due within 14 days of invoice date unless otherwise agreed. Late payments may incur interest at a rate of 1.5% per month on the outstanding balance.

7.3 Refunds

Refund terms, if applicable, are governed exclusively by the provisions of your engagement agreement. These Terms do not independently create any right to a refund. In the absence of a specific refund provision in your engagement agreement, all fees paid are non-refundable.

8. LinkedIn Account Safety

Zenoh AI implements the following safeguards to protect your LinkedIn account:

  • Dedicated residential proxies for each LinkedIn account to ensure secure, location-consistent activity
  • Daily activity caps and smart delays that mimic natural human behaviour
  • Warm-up protocols that gradually increase account activity during initial campaign launch
  • Continuous monitoring of account health indicators by your dedicated outbound strategist
  • Immediate activity suspension in the event of detected anomalies or LinkedIn warnings

While Zenoh AI takes every reasonable precaution to protect your LinkedIn account, we cannot guarantee immunity from LinkedIn platform actions, including but not limited to connection limits, temporary restrictions, or account warnings. LinkedIn's enforcement decisions are at their sole discretion. Zenoh AI shall not be liable for any LinkedIn-imposed restrictions resulting from standard campaign activity conducted within safe operating parameters.

9. Intellectual Property

9.1 Client Materials

You retain all rights to materials you provide to Zenoh AI during onboarding and the engagement, including product documentation, sales collateral, brand assets, and proprietary business information.

9.2 Zenoh AI Platform and Technology

Zenoh AI retains all intellectual property rights in its platform, AI models, processes, algorithms, tools, and technology. Your use of the platform is limited to the duration of the engagement and does not convey ownership or license to any Zenoh AI intellectual property.

9.3 Outbound Strategy

The outbound strategy created during the engagement — including ICP definitions, messaging frameworks, campaign configurations, and A/B testing results — is owned by you. You may use, modify, and implement the strategy independently after the engagement concludes.

10. Confidentiality

10.1 Definition

Confidential information includes all non-public information disclosed by either party, including business plans, strategies, financial information, customer data, technology, and any information marked or reasonably understood to be confidential.

10.2 Obligations

Each party agrees to hold the other party's confidential information in strict confidence, use it only for purposes related to the engagement, and not disclose it to third parties without prior written consent. These obligations survive termination of the engagement for a period of 3 years.

10.3 Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of this agreement, (b) was known to the receiving party prior to disclosure, (c) is independently developed without use of confidential information, or (d) is required to be disclosed by law or regulation.

11. Data Protection

Zenoh AI processes personal data in accordance with its Privacy Policy and applicable data protection laws. By engaging our services, you represent that you have the necessary rights and authorisations to share business and prospect data with Zenoh AI for the purpose of outbound campaign execution. Zenoh AI processes prospect data solely for the purpose of delivering the Services and does not use prospect data for any other commercial purpose.

12. Limitation of Liability

12.1 Cap on Liability

To the maximum extent permitted by law, Zenoh AI's total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

12.2 Exclusions

In no event shall Zenoh AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages.

12.3 Specific Exclusions

Zenoh AI shall not be liable for:

  • Actions taken by LinkedIn, including account restrictions, suspensions, or policy changes
  • Failure to deliver results caused by inaccurate or incomplete information provided by you
  • Outcomes of meetings booked by Zenoh AI, including sales conversions, deal closures, or revenue generated
  • Changes in your target market, competitive landscape, or business conditions that affect campaign performance

13. Termination

13.1 Termination by Client

You may terminate the engagement by providing 30 days' written notice. Fees paid for the current billing period are non-refundable. Any outstanding meeting commitment at the time of termination will be governed by the terms of your engagement agreement.

13.2 Termination by Zenoh AI

Zenoh AI may terminate the engagement if: (a) you breach any material term of these Terms or your engagement agreement and fail to cure within 14 days of notice, (b) you fail to pay invoices within 30 days of the due date, or (c) your LinkedIn account is permanently suspended or banned.

13.3 Effect of Termination

Upon termination: (a) Zenoh AI will cease campaign operations within 7 days, (b) LinkedIn account credentials will be securely deleted within 30 days, (c) you will retain access to your outbound strategy documentation, (d) you will retain ownership of the validated strategy, and (e) any outstanding meeting commitments will be handled as specified in your engagement agreement.

14. Indemnification

You agree to indemnify and hold harmless Zenoh AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms, (b) your violation of applicable laws or regulations, (c) inaccurate or misleading information provided by you, or (d) your product or service causing harm to prospects engaged through Zenoh AI campaigns.

15. Force Majeure

Neither party shall be liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet disruptions, LinkedIn platform outages or policy changes, and acts of war or terrorism.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, India.

17. Modifications

Zenoh AI reserves the right to modify these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before they take effect. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may terminate the engagement in accordance with Section 13.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and your engagement agreement, constitute the entire agreement between you and Zenoh AI regarding the Services and supersede all prior agreements, representations, and understandings. In the event of a conflict between these Terms and your engagement agreement, the engagement agreement shall prevail.
